1. Scope of Services

Bit Data Studio provides bespoke software engineering, system architecture design, application development, and technical consulting. Specific deliverables, project timelines, deployment scopes, and milestones for any client engagement will be explicitly detailed in a separate Statement of Work (SOW) or Service Agreement. In the event of a conflict between these general Terms and a signed SOW, the signed SOW will take precedence.

2. Intellectual Property Rights

  • Our Proprietary Materials: Unless otherwise indicated, the website, its source code, databases, functionality, software designs, audio, video, text, and graphics on the site are our proprietary property and are protected by copyright and trademark laws.
  • Client Project IP: Intellectual property ownership of custom software, applications, or architectural blueprints built specifically for a client will be transferred to the client upon full and final payment of all outstanding invoices, subject to any pre-existing open-source components or Bit Data Studio baseline frameworks utilized, which will be licensed to the client.

3. Client Responsibilities and Code of Conduct

To ensure successful project execution, clients must:

  • Provide accurate, complete, and timely requirements, feedback, and assets necessary for software development.
  • Secure and maintain necessary third-party licenses, API credentials, and hosting environments required for deployment unless explicitly managed by us.
  • Ensure that any data or materials provided to us do not infringe upon the intellectual property or privacy rights of any third party.

4. Project Estimations and Payment Terms

  • Quotations: Any financial estimates, quotations, or project timelines provided via our web inquiry tools or discovery meetings are valid for thirty (30) days from issuance unless stated otherwise.
  • Payment Structures: Invoicing structures (e.g., milestone-based payments, deposits, or monthly retainers) will be defined in the project contract. Late payments may result in the temporary suspension of development pipelines, architectural consultation, or code deployment.

5. Confidentiality and NDAs

We recognize the highly sensitive nature of proprietary software systems, business logic, and enterprise data. Bit Data Studio maintains strict confidentiality standards. We are fully prepared to review, execute, and adhere to industry-standard Mutual Non-Disclosure Agreements (NDAs) prior to diving deep into your technical architectures or codebase repositories.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Bit Data Studio, its developers, or its architects shall not be liable for any indirect, incidental, consequential, or punitive damages—including but not limited to loss of profits, data corruption, system downtime, production outages, or security breaches suffered by your enterprise—arising out of or related to the use of our services or software systems. Our total liability for any certified claim shall not exceed the amount paid by the client to us for the specific service or project milestone causing the issue.

7. Warranty Disclaimer

Our software development and system designs are engineered following strict industry best practices. However, except as explicitly provided in a signed contract, all services and deliverables are provided on an “as-is” and “as-available” basis. We do not warrant that the operation of developed software will be entirely uninterrupted, error-free, or completely secure against evolving cyber threats.

8. Termination of Services

Either party may terminate an ongoing technical engagement or service contract if the other party materially breaches its obligations and fails to cure such breach within thirty (30) days of receiving written notice. Upon termination, the client shall pay Bit Data Studio for all engineering hours logged and development milestones successfully completed up to the effective termination date.

9. Governing Law

These Terms and any separate service agreements shall be governed by and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law principles. Any legal action or dispute resolution arising under these Terms shall be handled exclusively in the courts located in [Your City/Region].
